Contract
Graphic design/website design/web maintenance contract between Vision Identity and client
All services described herein are to be performed by Vision Identity and/or its contractors in
accordance with the most commonly accepted standards and practices of the Web Services
Industry. That is to say, we will use web site design technologies that are most universally
acceptable in order to satisfy the broadest web market possible.
The above-named client (referred to herein as "client") has engaged Vision Identity for the specific
purpose of designing/maintaining a web site/graphic design. Please review this policy carefully.
Vision Identity reserves the right to change or modify any of the terms and conditions contained in
this agreement. It is your responsibility to regularly review this agreement and your failure to do so
does not relieve you of complying with this agreement. Your use of our services constitutes
acceptance of this agreement and you agree to be bound by the terms and conditions contained
herein.
1 SERVICES RENDERED - Vision Identity agrees to perform either one or all of the following design
services:
2 DELIVERY OF PROJECT - Vision Identity will use all reasonable efforts in the development of the
project and endeavour to complete and deliver to client all files, media and materials related to the
project no later than 60 Days after the effective date of this agreement that payment and all requested
instructions and material have been received by Vision Identity from the client. Any delay in the
completion of the Project due to actions or negligence of client, transportation delays, illness, or
circumstances outside the control of Vision Identity may alter the delivery date. Vision Identity will
make reasonable effort to notify customer of any delays to the estimated delivery date as soon as
possible
3 COST - Notwithstanding any prices listed in literature or on web pages, the client and Vision
Identity agree that the services described in this contract shall be completed. While we try and ensure that all prices on our website are accurate, errors may occur. If we discover an error in the price of goods you have purchased with us we will inform you as soon as possible.
4 ADDITIONAL SERVICES - The terms and conditions set forth in this document constitutes the
sole agreement between Vision Identity and the client regarding the agreed work. Should the client
desire additional standard web pages beyond the terms of work specified above, the client agrees
to pay Vision Identity an additional fee based on the agreed rate structure. All additional changes
must be submitted and approved by both parties in writing. Should the client require image changes
or fresh design on any aspect of website/graphics art in question once the initial design has been
agreed, Vision Identity will carry out proposed design upgrade at the rate of €55 per hour.
5 WEB MAINTENANCE – Under the web maintenance agreement, client shall be entitled to 4 (four) hours
of maintenance and website adjustments per month. Further work can be completed but will be charged as
a separate item and therefore a separate piece of work.
6 PAYMENT - Client agrees to pay to Vision Identity an initial deposit of 50% of total fee upon execution of
this agreement. All remaining charges agreed upon and which may accrue, shall become due and payable
to Vision Identity upon completion of the services described in above. In the case of web projects, Vision
Identity reserves the right to remove web pages from viewing on the Internet until final payment is made.
Should collection activities become necessary, the client agrees to pay all fees relating to said activities.
7 PROJECT INVOLVEMENT - The client agrees to contribute to a positive working relationship through
regular communication between Vision Identity and the client. Vision Identity intends to complete projects on
a suitable turnaround but will require the clients assistance in achieving this turnaround. On placing an
order for the services of Vision Identity, the client agrees to maintain contact to the extent that all decisions
are made and materials transferred to Vision Identity for the purposes of contract completion within 3
months of contract signing.
8 SUBCONTRACTING - Vision Identity reserves the right to assign other web designers or subcontractors
to this project.
9 TRADEMARKS AND COPYRIGHTS - The client represents to Vision Identity and unconditionally
guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to
Vision Identity for inclusion in web pages are owned by the client, or that the client has permission from the
rightful owner to use each of these elements, and will protect and defend Vision Identity from any claim or
suit arising from the use of such elements furnished by the client. Copyright to the assembled work of web
pages/graphic art produced by Vision Identity is owned by Vision Identity. Upon final payment of this contract,
all rights owned by Vision Identity as to the design, graphics, and text in this website/graphic art/design
transfer to the client. Vision Identity reserves the right to reuse any samples for portfolio purposes.
10 LITIGATION - Any disputes arising from this contract will be litigated or arbitrated within the Irish legal
system. This agreement shall be governed and construed in accordance with the laws of the
Republic of Ireland.
11 Price Errors - If a product inadvertently appears on the website at the wrong price, Vision Identity may decline or cancel any orders placed at the wrong price, even if the order has been confirmed and a credit card charged. If a credit card was charged for the purchase and the order is so cancelled, Vision Identity will notify the buyer and issue a credit to the credit card account in the amount of the wrong price.
